Wyoming Registered Agent Requirements

Two statutes define the registered agent role in Wyoming. W.S. § 17-29-113 obligates every LLC to continuously maintain a registered agent, and W.S. § 17-28-101 defines what that agent and their office must be. Wyoming wrote the second one with unusual precision, and it is worth reading closely before you appoint anyone.

The Physical-Presence Rule

The registered office must be a street address in Wyoming that is a physical location where the registered agent, or a natural person with an agency relationship with the agent, can accept service of process and, in the statute's own words, "is physically present at that location." Someone real has to actually be there. The Secretary of State's form draws the bright lines: a drop box is not acceptable, and a PO box may appear only in addition to the physical address, never instead of it.

Who Can Hold the Role

W.S. § 17-28-101 recognizes four options:

• An individual at least 18 years old who resides in Wyoming and whose business office is identical to the registered office
• A domestic business entity with an identical business office and a written agency agreement with an individual who accepts service
• A foreign business entity authorized to transact business in Wyoming, on the same terms
• A commercial registered agent registered under W.S. § 17-28-105 (anyone acting as agent for more than ten entities must register as one)

One route is closed: the LLC cannot appoint itself as its own registered agent.

Consent Comes First

Wyoming builds the agent relationship into formation itself. Under W.S. § 17-29-201(c), the Articles of Organization must arrive with a signed Consent to Appointment by Registered Agent. No consent, no complete filing. Whoever you appoint has to agree in writing before the company exists.

Changing Agents Later

The filing is called the Appointment of New Registered Agent and Office. It carries no form number, it goes to the Secretary of State's Business Division, and the fee is $5. The form itself walks through the details, including the incoming agent's signature.
