Forming a Wyoming LLC, Step by Step

Wyoming keeps formation lean. One document, the Articles of Organization, filed with the Wyoming Secretary of State, Business Division. One fee, $100 flat, fixed by W.S. § 17-29-210(a)(i). One statute doing the work: W.S. § 17-29-201. File online at wyobiz.wyo.gov or mail the paper form. A note on that $100: some directories quote a slightly higher figure for this filing. No official Wyoming source supports it. The statute and the Secretary of State's fee schedule both say $100, plus only a small card-processing fee if you file online.

Wyoming also skips something most states have: form numbers. The Articles of Organization is identified by its title and revision date, nothing else.

The Six Steps

1. Confirm the name is free. Wyoming requires "Limited Liability Company," "LLC," "L.L.C.," or a similar designator, and the name must be distinguishable from everything already registered. Search before you commit; our name search page shows how.
2. Line up a registered agent with a real Wyoming street address. W.S. § 17-28-101 sets an unusually strict presence standard: the registered office must be a street address where the agent, or a natural person with an agency relationship with the agent, is physically present to accept service of process. A drop box does not qualify. A PO box is allowed only in addition to the street address. And the LLC cannot name itself. Full rules on our registered agent page.
3. Get the agent's consent in writing. W.S. § 17-29-201(c) requires the Articles to be accompanied by a signed Consent to Appointment by Registered Agent. This is a real attachment, not a formality you can skip; the filing is incomplete without it.
4. File the Articles of Organization with the $100 fee. Online through wyobiz.wyo.gov with a card, or by mail with a check to the Business Division. The official form covers your name, principal office, registered agent, and organizer signature.
5. Adopt an operating agreement. Wyoming will not ask for it, but your bank will, and it settles ownership percentages, profit splits, and exit terms before anyone disagrees about them. See our operating agreement guide.
6. Pull your EIN from the IRS. Free at IRS.gov, usually issued on the spot. Required for banking, hiring, and federal returns. Third parties charging for this are selling you a free form.

The Clock That Starts at Approval

Every Wyoming LLC owes an annual report with a license tax, due the first day of its anniversary month each year: $60 minimum, or $0.0002 of Wyoming-located assets if that computes higher.
